1. Independent contractor. You are an independent subcontractor, not an employee. You control your own schedule, route, and means of performing each job. You are responsible for your own taxes, vehicle, fuel, tools, and helpers.
2. Job offers & acceptance. Haulwell will tender job offers via the tech portal. Each accepted offer is a discrete subcontract on the terms shown at acceptance (pay-out, location, scope, deadline). You may decline any offer without penalty.
3. Payment. Haulwell pays you the offered amount via Stripe Connect after job completion is verified (customer sign-off, photo proof, no chargeback within hold period). Standard payout cadence is weekly.
4. Insurance & compliance. You must maintain valid auto insurance and, where required, a Certificate of Insurance naming Salvo Digital LLC as additionally insured. You will not haul hazardous materials, asbestos, or anything illegal.
5. Customer relationship. Customers are Haulwell customers. You will not solicit Haulwell customers for off-platform work for 12 months after your last job through the platform.
6. Conduct & ratings. You agree to professional conduct, on-time arrival, and accurate job reporting. Repeated low ratings, no-shows, or fraudulent reporting may result in deactivation.
7. Indemnity & liability. You indemnify Haulwell against claims arising from your work, vehicle, or helpers. Haulwell's liability to you for any claim is capped at fees paid to you in the prior 90 days.
8. Termination. Either party may terminate this agreement at any time, for any reason, with written notice. Outstanding accepted jobs and earned payouts survive termination.
9. Governing law. Texas law governs. Disputes resolved by binding arbitration in Travis County, TX, except for injunctive relief.
10. Electronic signature. Typing your full legal name below and submitting this form constitutes your electronic signature under the E-SIGN Act and is binding.
